Terms of service

Definitions

  • Contractor: Revive Media, sole proprietorship, Chamber of Commerce number 75362007.

  • Client: any party that purchases a service from Revive Media.

  • Agreement: any arrangement between the contractor and the client.

  • Services: web design, web development, hosting, and maintenance.

  • Website: the final product delivered as part of the agreement.

Applicability

  • These terms apply to all quotes, work, and deliveries from Revive Media, unless agreed otherwise in writing.

  • Client terms and conditions do not apply.

Quotes and formation of agreements

  • Quotes are non-binding and valid for thirty days unless stated otherwise.

  • An agreement is formed when the client provides written approval of the quote.

Services

  • Revive Media provides web design, web development, hosting, and maintenance as described in the quote.

  • Additional work outside the agreed scope will be invoiced separately.

Revisions

  • Revisions are unlimited within reason and within the agreed scope.

  • Revisions that result in new functionalities or additional work outside the scope will be charged separately.

Timelines and delivery

  • Delivery dates are indicative.

  • A project is formally delivered when ownership of the website has been transferred to the client.

  • From the moment of transfer, the website is considered accepted.

  • After delivery, the client may report minor errors within thirty days. These will be corrected free of charge.

Rates and payment

  • Invoicing: 50 percent upfront, 50 percent upon delivery.

  • The standard payment term is seven days.

  • If payment is not made on time, Revive Media may suspend work until payment is received.

  • All prices communicated by Revive Media, including prices on the website, in quotes, emails, and other materials, are exclusive of VAT unless explicitly stated otherwise.

Provision of materials

  • If the client provides texts, photos, or other content, the client guarantees that all material is royalty-free or properly licensed.

  • If the client does not provide material, Revive Media can supply it for an additional fee.

Hosting and maintenance

  • Hosting is provided via Wix.

  • Revive Media is not responsible for outages, errors, security issues, or downtime on Wix.

  • Maintenance includes standard technical updates, as available on Wix, and adjustments to content provided by the client.

  • Maintenance does not include new functionalities or expansions.

  • Rates: $75 per month for standard websites and $105 per month for e-commerce websites.

Intellectual property

  • The intellectual property of the website transfers entirely to the client upon delivery.

  • The client will receive the website’s source files.

  • The client may modify the design or have it modified by third parties.

Liability

  • Revive Media is fully exempt from liability.

  • There is no liability for direct or indirect damage, consequential loss, data loss, loss of revenue, or any other type of loss.

  • The client assumes all risks.

Termination by the client

  • No notice period applies.

  • If the client terminates the agreement, the deposit is always forfeited.

  • If more than 50 percent of the total project has been completed, the remaining project fee will be invoiced.

  • The extent to which the project has been completed is determined solely by Revive Media.

Force Majeure

  • In the event of force majeure, Revive Media has the right to suspend work.

Governing Law

  • Dutch law applies.

  • Disputes will be submitted to the competent court in Arnhem, Gelderland.

Privacy and Data

  • Revive Media processes personal data as described in the applicable privacy policy. This policy forms an integral part of these general terms and conditions.
